Compliance Officer

• Assist in developing, implementing, and maintaining effective compliance programs, policies, and practices.
• Support the manager in ensuring ongoing compliance with reporting and regulatory requirements set by relevant authorities and institutions, including the Capital Markets Authority (CMA), Boursa Kuwait, Kuwait Clearing Company (KCC), and the Ministry of Commerce and Industry (MOCI).
• Prepare detailed periodic compliance reports as instructed by the manager.
• Advise stakeholders on applicable regulatory standards, requirements, and procedures established by the CMA, KCC, and Boursa Kuwait.
• Act as a liaison between group companies, shareholders, and relevant authorities, including ministries, KCC, CMA, and Boursa Kuwait.
• Plan, coordinate, participate in, and oversee the organization of Annual General Assembly (AGM) meetings.
• Assist in organizing Annual and Extraordinary General Assembly (AGM and EGM) meetings, including preparing documentation, obtaining approvals, and managing communications.
• Draft and maintain accurate minutes of Annual General Assembly meetings.
• Support the manager in preparing and announcing financial results to Boursa Kuwait and the CMA in accordance with applicable regulatory requirements and deadlines.
• Ensure that the company’s compliance frameworks, policies, and procedures are maintained and updated as required by regulatory standards and approved by the Board.
• Compile, review, assess, and report compliance-related information to the manager.
• Monitor company activities to ensure compliance with applicable legislation, regulations, and regulatory requirements.
• Follow up on actions and decisions made by the manager and the Board to ensure timely implementation.
• Ensure that relevant information is communicated accurately and promptly to the company’s stakeholders within the required timelines.
• Develop, implement, and monitor timely and effective action plans to address compliance findings, identified risks, and regulatory violations.
